General conditions of international sale

01. Prices

The prices indicated shall be understood as applying to goods made available to the buyer in accordance with the Incoterm® agreed between the parties and in force on the date of order acceptance.

Goods shall be invoiced at the prices in effect on the date the order is received and accepted by FAGOR ELECTRÓNICA S. COOP.

Unless expressly agreed otherwise, prices do not include taxes, levies, duties, customs charges, import costs, licences, certifications, or any other charges applicable in the destination country, all of which shall be borne entirely by the buyer.

Prices shall be stated in the currency indicated in the relevant quotation or invoice.

02. Shipments and Freight

The delivery conditions, allocation of costs, and transfer of risk shall be governed by the Incoterm® expressly agreed between the parties for each transaction.

Transportation, insurance, customs clearance, export or import formalities, storage, and any other logistics-related costs shall be borne by the party responsible for them under the applicable Incoterm®.

Orders consisting exclusively of dishes, tower mounts, and masts may be subject to specific shipping conditions, which shall be communicated to the buyer prior to order acceptance.

Freight charges arising from urgent shipments or shipments made through carriers expressly designated by the buyer shall be borne by the buyer, unless otherwise agreed in writing.

The buyer shall inspect the goods upon receipt. Any damage, loss, or transport-related incident must be recorded in writing on the carrier's delivery document and notified immediately to the responsible carrier, with a copy sent to FAGOR ELECTRÓNICA S. COOP.

FAGOR ELECTRÓNICA S. COOP. reserves the right to make partial deliveries of orders, which shall be invoiced in accordance with the agreed conditions.

03. Returns and Claims

No returns shall be accepted without the prior written authorization of FAGOR ELECTRÓNICA S. COOP.

Returned goods must be in perfect condition, unused, unaltered, in their original packaging, and accompanied by a copy of the corresponding invoice. Otherwise, FAGOR ELECTRÓNICA S. COOP. may reject the return and return the goods to the sender at the sender's expense.

Claims concerning apparent defects, supply errors, or quantity discrepancies must be submitted in writing within seven (7) calendar days of receipt of the goods.

Delivery delays shall not entitle the buyer to cancel the order, reject the goods, or claim compensation of any kind, unless expressly agreed otherwise.

Where a return results from an error attributable to FAGOR ELECTRÓNICA S. COOP., it shall bear the reasonable logistics costs arising from the replacement of the goods.

Products being returned must be identified with the corresponding Return Merchandise Authorization (RMA) number, which may be requested through the Customer Area accessible at www.fagormultimedia.com.

The maximum period for requesting a return shall be two (2) months from the invoice date.

04. Warranty

FAGOR ELECTRÓNICA S. COOP. warrants its products for a period of two (2) years from the invoice date, subject to presentation of the relevant proof of purchase.

The warranty covers manufacturing and material defects only and does not apply to damage caused by:

• Incorrect installation.
• Improper or negligent use.
• Unauthorized modifications or repairs.
• Accidents.
• Inadequate environmental conditions.
• Fortuitous events or force majeure.

After inspection of the returned product, FAGOR ELECTRÓNICA S. COOP. shall determine whether the reported issue is covered under warranty.

Unless otherwise required by applicable law, transportation costs to the facilities of FAGOR ELECTRÓNICA S. COOP. shall be borne by the buyer. The cost of returning the repaired or replacement product shall be borne by the party responsible under the applicable warranty coverage.

Repairs of spare parts, fittings, accessories, antennas, cables, or connectors shall not be accepted unless expressly authorized by FAGOR ELECTRÓNICA S. COOP.

Products sent for repair must be identified with the corresponding RMA number, requested through the Customer Area accessible at www.fagormultimedia.com.

05. Payment Terms and Conditions

Payment terms shall be agreed individually between the parties and specified in the relevant quotation, order confirmation, or invoice.

The buyer undertakes to make all payments in full within the agreed payment periods.

In the event of late payment, FAGOR ELECTRÓNICA S. COOP. may:

• Suspend pending deliveries.
• Require advance payment for future supplies.
• Claim late payment interest at the maximum rate permitted by applicable law.
• Recover all reasonable debt collection costs, including legal, judicial, and extrajudicial expenses.

FAGOR ELECTRÓNICA S. COOP. may report outstanding debts to credit information agencies or commercial risk management agencies where permitted by applicable law.

06. Retention of Title

FAGOR ELECTRÓNICA S. COOP. retains title to and ownership of the goods until full payment has been received from the buyer.

In the event of total or partial non-payment within the stipulated payment periods, the buyer shall be liable for any interest and costs arising from the delay, without prejudice to FAGOR ELECTRÓNICA S. COOP. taking any legal action it deems appropriate, including recovery of the goods and claims for damages.

07. Jurisdiction

These General Conditions of Sale shall be governed by and construed in accordance with the laws of Spain, expressly excluding its conflict of laws provisions.

Any dispute arising from the interpretation, performance, or enforcement of these conditions shall be subject to the exclusive jurisdiction of the Courts of San Sebastián (Spain), unless the parties expressly agree to submit the dispute to international arbitration.

08. Information

The buyer shall be responsible for complying with all regulations, regulatory requirements, import licences, certifications, and legal obligations applicable in the destination country of the products.

Acceptance of any quotation, order, delivery note, or invoice issued by FAGOR ELECTRÓNICA S. COOP. shall constitute full acceptance of these General Conditions of Sale.

FAGOR ELECTRÓNICA S. COOP. reserves the right to modify its prices, technical specifications, and these General Conditions at any time. Such modifications shall not affect orders previously accepted.

These conditions supersede and replace any previously published version.
